Step 2: Submit notification to rely on the exemption to the OSC
A business that is interested in relying on the Early-Stage Business Registration Exemption must first submit a form to the OSC to notify us of its intention. There is no fee associated with submitting this form.
How does my business notify the OSC that it wants to rely on the Exemption?
A completed Form 32-509F1 Early-Stage Business Notification must be submitted to the OSC before a business starts raising capital under the Exemption. There is no fee associated with submitting this form. The submission will allow the OSC to collect important data for future policymaking. If a business is using a dealer to assist with raising capital, information related to the dealer is required to be included on the form
When submitting the notification form, please save a copy of the completed form for your records. The initial form will have the Submission ID that is required to be inputted if you need to amend any information.
What is required if the information submitted on the form changes?
If there is a change to the information in Part B (Issuer Information), D (Dealer Information) or E (Primary Contact Information for Issuer) of the form, a new completed Form 32-509F1 Early-Stage Business Notification will be required to be submitted no later than 30 days after the end of the calendar quarter.
If there is a change to Part C (Other Issuer Information) of the form, a revised, completed Form 32-509F1 Early-Stage Business Notification will be required to be submitted no later than the 30th day after October 25, 2025.
In the new form, the business must indicate that it is correcting a previous notification, and it will need to provide the submission number of the notification being corrected. The initial notification form submitted will have the required Submission ID number.
